Although exclusive talks between Paramount Global and Skydance Media are expected to end without a deal, questions linger about controlling shareholder Shari Redstone’s duty to minority investors, some of whom have vocally opposed the merger on grounds that their interests have taken a backseat in negotiations.
A Paramount investor, in a complaint filed on April 30 in Delaware Chancery Court, moved to force the company to turn over records related to talks with David Ellison’s Skydance. The Employees’ Retirement System of Rhode Island alleged that Redstone has “conflicting interests” undermining the company’s motives to find a better deal than the one offered by Skydance.
The legal move could be a precursor to a lawsuit challenging any potential deal in which common shareholders perceive as enriching Redstone at their expense. It follows several law firms, in the wake of Paramount’s deal talks with Skydance, announcing investigations into whether...

Paramount Global CEO Bob Bakish saw his total compensation dip slightly in 2023, to $31.3 million from $32 million in the prior year.
The latest figures were disclosed Monday in an SEC filing.
The next-highest tally among top execs was for CFO Naveen Chopra, who collected $8 million, up from $6.5 million in 2022.
Bakish’s salary was $3.1 million and he was given a stock award of $15.5 million and another $12.4 million via the company’s non-equity incentive plan.
Along with executive compensation, the filing revealed the June 4 date of the company’s annual shareholder meeting. The meeting, which has seen more than its share of drama in recent years, could be another source of intrigue as controlling shareholder Shari Redstone considers a number of M&a options. Four members of the company’s board of directors, who would customarily have taken part in the meeting, recently announced they will not run for re-election.

The intrigue surrounding the fate of Paramount deepened on Thursday after it emerged that Sony Pictures and Apollo Global Management were said to be discussing whether to make a bid for the studio.
While exclusive negotiations are ongoing between David Ellison’s Skydance Media, RedBird Capital and Paramount Global majority shareholder National Amusements, The New York Times reported on the Sony development.
It is understood no bid has been submitted, but the Times said Sony Pictures CEO Tony Vinciquerra held talks with Apollo last week as they weigh up an all-cash offer for Paramount’s outstanding stock that would effectively take the studio private.

The temperature is rising as Paramount Global’s common shareholders continue to publicly and privately bash a possible acquisition by David Ellison’s Skydance Media with terms they insist would mainly benefit Shari Redstone, and theatening legal action. With the parties in the midst of a 30-day exclusive negotiating period, a report this week said four Par directors are planning to step down from the board.
Paramount declined to comment on WSJ news that directors Nicole Seligman, Dawn Ostroff, Frederick Terrell and Rob Klieger are set to exit. I was always under the impression that Blumhouse’s Prime Video cannibal series The Horror of Dolores Roach (read our review Here) was going to be an eight episode limited series, but apparently there was hope for a second season, because The Hollywood Reporter has announced that Prime Video has decided to cancel the show. So the eight episode first season is all we’re getting after all.
The news of the cancellation comes four months after all eight episodes of The Horror of Dolores Roach were released on the same day back in July.
Based on the Gimlet podcast of the same name, The Horror of Dolores Roach came from Blumhouse Television, Gimlet, and GloNation Studios. The show tells the following story: After serving a 16-year prison sentence, the title character (Machado) returns to a gentrified Washington Heights with $200 and the clothes on her back. Based on the hit podcast, Prime Video debuted the Amazon Original series “The Horror of Dolores Roach” this past July, and we’ve learned the series has been cancelled.
After just one season, “The Horror of Dolores Roach” is no more at Prime Video.
Justina Machado starred in the first season of “Dolores Roach.”
The eight-episode, half-hour series is a contemporary Sweeney Todd-inspired tale, a macabre urban legend of love, betrayal, weed, gentrification, cannibalism, and survival of the fittest.
In the series, “Dolores Roach is released from prison after 16 years and returns to a severely gentrified Washington Heights with $200 and the clothes on her back. Her boyfriend missing, her family long gone, Dolores reunites with an old stoner buddy, Luis, who gives her room and board and lets her give massages for cash in the basement under his dilapidated storefront, Empanada Loca, the only remnant of her former life.

When the promise of her newfound stability is quickly threatened, ‘Magic Hands’ Dolores is driven to shocking extremes to survive,” reads the official description.

The cancelations continue ahead of the holiday weekend.
Amazon has axed a trio of scripted series from its Prime Video service: The Horror of Dolores Roach, Harlan Coben’s Shelter, and With Love are all ending.
The Horror of Dolores Roach and Harlan Coben’s Shelter ran for one season, while With Love is ending after two seasons.
They are the latest cancelations at the streamer over the last few months following shows such as The Peripheral and A League of Their Own, which had both been renewed before those decisions were reversed.

Spotify’s relationship with the Sussexes was, in the end, a mess.
The two parties formally ended their exclusive podcast deal on June 15 in the press after The Wall Street Journal reported that Spotify was not renewing Meghan Markle’s Archetypes show for a second season and the duchess was “continuing to develop more content for the Archetypes audience on another platform, according to a statement shared with the paper that was first attributed to a spokesperson for Archewell Productions before being changed to WME, which signed Markle and Archewell in April.
The Journal story is believed to have ultimately fast-tracked the end of the Spotify-Archewell relationship, which had still been in place prior to the story’s publication but concluded with a carefully worded joint statement released that evening announcing the two parties had “mutually agreed to part ways.” But Spotify’s Bill Simmons, who leads podcast monetization for the audio company,...

Updated with statement: The Sussexes have separated from Spotify, Deadline has confirmed.
As part of their reported $20 million deal with Spotify inked back in 2020, Prince Harry and Meghan Markle had the podcast Archetypes, which the latter hosted. The show, which explored labels that held women back and touted such guests as Trevor Noah, Mariah Carey, Mindy Kaling and Serena Williams, won’t be getting a second season despite talks.
“Spotify and Archewell Audio have mutually agreed to part ways and are proud of the series we made together,” Spotify and the couple’s Archewell Audio said Thursday in a joint statement.
We hear the Duke and Duchess of Sussex are rethinking their deals to find better homes and partnerships for content. There’s also a chance that Archetypes could wind up elsewhere.
At the end of April, Markle signed with WME with the agency also repping Archewell, the couple’s content creation label.

Spotify CEO Daniel Ek says the streaming audio giant is going to be “very diligent” in assessing future investments in podcasting as several of the company’s rich talent deals come up for renewal.
Speaking on the company’s first-quarter earnings call, Ek responded to a question from a Wall Street analyst wondering about the plans for potentially pricey renewals this year and next. During the period when Dawn Ostroff was spearheading content, Spotify spent more than $1 billion acquiring podcast assets and locking up exclusive deals with the likes of Joe Rogan and Dax Shepard. Ostroff left the company earlier this year, and her responsibilities have been taken on by Alex Nörstrom, the exec whose specialty has been the free, ad-supported side of the business.

In an interview with The Hollywood Reporter, Zicherman — currently the the vp and global head of audiobooks at Spotify — said he is departing to return to his “entrepreneurial roots with a new project in the startup space.” Zicherman first joined Spotify in 2019 after the company acquired Anchor, the podcasting platform that Zicherman co-founded with Michael Mignano, as part of Spotify’s podcast product division. Spotify is shutting down Heardle, the music-guessing game inspired by Wordle, less than a year after acquiring the game for an undisclosed amount.
“Thanks for playing Heardle, but unfortunately we have to say goodbye,” a pop-up message reads on the Heardle website. “From May 5th, Heardle will no longer be available.”
Spotify purchased Heardle last July amid the frenzy around Wordle, the word-guessing game created by Josh Wardle that the New York Times picked up in early 2022. At the time, Spotify said Heardle would serve as another music discovery tool for the platform and, in the future, would become available to listeners around the world in their native languages.
But less than a year later, Spotify has abandoned that plan as Heardle becomes the latest casualty in Spotify’s ongoing efforts to trim costs. “After careful consideration, we have made the difficult decision to say goodbye to Heardle as we...

“In hindsight, I got a little carried away and over-invested relative to the uncertainty I saw in the market,” Spotify CEO Daniel Ek said this morning as the company reported a jump in users but wider losses, a week after announcing a reorganization of top management and hundreds of layoffs.
The music streaming giant announced 489 million monthly active users in the fourth quarter of 2022, with 205 premium subscribers (up 14). Both numbers beat forecasts. However, losses widened on investments in podcasting and other costs.

On Jan. 23, as Spotify staff learned of plans to lay off 6 percent of the company, or about 600 people, top podcast executives at the audio giant went into damage-control mode. Most notable among the departures was Dawn Ostroff, the chief content and advertising business officer who was hired in 2018 to build out Spotify’s podcasting ambitions and, as one top dealmaker describes it, “represented Hollywood and talent from a creative perspective” for the Sweden-based company. With Ostroff set to exit and hand over leadership of content to Alex Nörstrom, a business executive who oversaw Spotify’s freemium model, the podcast execs quickly scheduled calls with outside partners, agents and managers to reassure them of Spotify’s commitment to existing deals.
Ostroff’s departure was a surprise to some observers, given that the executive was one of Spotify’s most public-facing leaders, spearheading key presentations to investors, participating in media interviews to...

The tech layoffs just keep on coming. Spotify has joined tech giants Google, Amazon, and Microsoft by delivering pink slips at the start of 2023.
The audio streamer, which employs about 9,800 people, will let 6 of its workforce go. That means the round of cuts will affect about 600 employees.
Spotify CEO Daniel Ek explained the rationale behind the layoffs in a note published on the company blog. If you’ve been following the tech industry’s slump over the past year, Ek’s words will sound familiar. “Like many other leaders, I hoped to sustain the strong tailwinds from the pandemic and believed that our broad global business and lower risk to the impact of a slowdown in ads would insulate us,” Ek wrote. “In hindsight, I was too ambitious in investing ahead of our revenue growth.”
These cuts will initiate a restructuring effort within Spotify. Ek wrote that the reorganization is intended to “drive more efficiency,...

Spotify’s Dawn Ostroff praised the growth of the audio giant’s podcasting expansion shortly after CEO Daniel Ek revealed a major leadership reorganization Monday morning that will see Ostroff exit the company.
The reorganization, accompanied by a round of layoffs that will impact roughly 600 employees, involves consolidating Spotify’s business operations under co-president Alex Norström, who most recently oversaw the company’s freemium business. Ostroff, who joined Spotify in 2018 from Condé Nast Entertainment, will transition to an adviser role before formally leaving the company, as her divisions now fall under Norström’s purview.
In a note to staff, obtained by The Hollywood Reporter, Ostroff praised Norström and reflected on the growth and impact of Spotify’s podcasting team, writing that the platform’s original and exclusive shows — which includes hits like The Joe Rogan Experience, Call Her Daddy and the original series Caso 63 — account for roughly 20 percent of...

Dawn Ostroff is departing Spotify as the company’s head of content and advertising amid cutbacks affecting 6 of the company’s workforce.
Against a backdrop of austerity in the once-invincible tech sector, Spotify said it is shedding hundreds of jobs. In a memo to employees posted online, CEO Daniel Ek said he had been “too ambitious” in scaling up the company. “To bring our costs more in line, we’ve made the difficult but necessary decision to reduce our number of employees,” he explained. “While I believe this decision is right for Spotify, I understand that with our historic focus on growth, many of you will view this as a shift in our culture. But as we evolve and grow as a business, so must our way of working while still staying true to our core values.”
Ek praised Ostroff for her contributions and said Alex Norström would assume her duties.

Audio streaming giant Spotify on Monday said that it would be laying off about 6 percent of its workforce, or about 600 people, as the streaming audio giant becomes the latest company in the technology space to cut back on staff amid a challenging economy.
The company said that it expects to take severance costs of between 38 million and 49 million in connection with the layoffs.
The layoffs, unveiled by CEO Daniel Ek in a blog post, were expected to be more broadly based than a previous round of cuts in October, which hit staff working on canceled shows from in-house podcast studios Gimlet and Parcast.
To that end, one of Spotify’s most high-profile executives, chief content and advertising officer Dawn Ostroff, will depart the company “as part of a broader reorganization,” the company said. Ostroff will become a senior adviser to Spotify to help with the transition.

Mark Pedowitz leaves an impressive legacy at The CW after an 11-year run in which he championed diversity and worked tirelessly to transform the broadcast network into a home of year-round programming. The question now becomes if Pedowitz’s successor — former Nexstar board member Dennis Miller — will embrace or erase it.
Pedowitz was named president of The CW in April 2011, taking over the role from departing entertainment chief Dawn Ostroff. The former ABC Studios chief who oversaw a series of hits including Grey’s Anatomy, Lost and Desperate Housewives was charged with broadening out The CW’s viewership from a slate that, at the time, included the original Gossip Girl, Vampire Diaries, the 90210 update, Supernatural and Top Model.
In the decade-plus since, Pedowitz transformed the network with the arrival of the Greg Berlanti-produced Arrow-verse of DC Comics programming. With connected shows like...
