ProSiebenSat.1 Media’s shareholders have narrowly voted to reject a plan that would have seen the business split up.
Majority minority shareholders MediaForEurope (Mfe) and Pff Im had called for management at the German TV giant to explore a proposal to separate the core broadcasting and content business from its Commerce & Ventures and Dating & Video segments.
However, at the company’s annual general meeting today the motion did not get the required support, with shareholders supporting management’s plan to keep the business together and focus on its Entertainment operation, centered around streamer Joyn. A plan to change the capital structure also failed to receive the necessary 75% support.
Despite, an Mfe spokesperson said the Italian company was “pleased” with the support for its proposals, claiming a “large majority” had supported them. “Although the motion on the spin-off valuation was formally not passed, more than 70% of the shareholders voted for it,...

Adjusted Ebitda decreased to Euros 578 million ($629 million) from the previous year’s Euros 678 million ($739 million).

ProSiebenSat.1 Full-Year Profit Down $109M In “Difficult Economic Environment” But Earnings Up In Q4
ProSiebenSat.1 Media has posted full-year earnings down €100M ($109), but its recent recovery looks set to continue with fourth quarter income up “significantly.”
The German broadcast giant posted adjusted Ebitda of €578M in 2023, down nearly 15% from €678M in 2022. This was in line with expectations in what the broadcaster called both an “economically weak” and “difficult” environment. Revenues were also down 7.5%, at €3.85B for the full year against 2022’s €4.16B.
However, as ProSieben had indicated in preliminary Q4 results last month, revenues for the quarter were up and adjusted Ebitda increased by 11% to €335M, though net income dropped from €301M to €225. Furthermore, group net debt for 2023 declined 4% to €1.55M thanks to high cash flow intake towards the end of the year.
The entertainment division, which houses its channels and streaming assets, saw external revenues fall 11% across the year to €2.57B, with a fall in advertising in German-speaking regions blamed. However, ProSieben noted...

Plans to restructure Germany’s national film and TV funding system are dividing the country’s film and TV industry.
Last week, Claudia Roth, Germany’s state minister for culture and the media, unveiled a three-point strategy for a revamped German Film Law (Ffg) to be accompanied by two new financial instruments of a tax incentive and an investment obligation.
The incentive scheme would replace the existing German Federal Film Fund (Dfff) and German Motion Picture Fund (Gmpf) which between them had provided around €166m in support to German and international projects in 2023, ranging from such international projects as Nine Perfect Strangers...

Germany’s ProSiebenSat.1 has seen its financial picture stabilizing as the local TV advertising market began to show signs of recovery.
The commercial TV giant, which has faced a tough 2023, posted third quarter revenue of €888M and adjusted Ebitda of €110M. This was very close to the €911M and €108M recorded in the same period a year ago.
ProSieben noted the TV ad market had once again declined in German-speaking regions of Europe, but “to a lesser extent than in the first half of the year.” Europe’s major commercial networks have been banking on an ad market towards the end of this year and shareholders increasingly spooked by a lack of movement, so the news will be welcomed.
Digital once again helped ProSieben’s bottom line, with streamer Joyn posting AVoD advertising revenues up 58%, while overall digital and smart advertising revenues were up 16%. Combined with good numbers in the Commerce & Ventures division,...

Revenue gains made by streamer Joyn partially offset the continuing decline in linear TV advertising in the German-speaking region at media giant ProSiebenSat.1.
Quarterly results published on Tuesday reveal that group revenues are relatively stable with a 3% decline in the third quarter of 2023 to €888 million ($950 million) compared to €911 million ($974 million) in the equivalent quarter of the previous year. The numbers are a marginal improvement on the 2023 second quarter results when the group’s revenues declined from €1.04 billion ($1.14 billion) in 2022 to €868 million ($950 million) this year. Group revenues for the first nine months of 2023 were €2.5 billion, which corresponds to a decrease of €323 million or 11%.
The group’s adjusted Ebitda increased fractionally to €110 million in the third quarter of 2023 (previous year: €108 million). In addition to targeted cost-control measures, the increase of 2% is mainly due to profitable revenue growth in the digital platform and commerce business, the group said. “Earnings were significantly impacted by...

German media giant ProSiebenSat.1 is continuing its period of realignment with a host of changes in its management structure.
Last year, ProSiebenSat.1 acquired German streaming service Joyn from Warner Bros. Discovery. The same year, the company bundled its production companies in Germany, the U.K., Denmark and Israel, under the newly established banner Seven. One Studios. In July this year, ProSiebenSat.1 revealed that the group’s realignment after it acquired Joyn would result in the loss of 400 jobs. And in August, quarterly results showed that declining TV advertising revenues in the German-speaking region contributed to revenues and profits plunging.
On Thursday, it emerged that Joyn CEO Tassilo Raesig and CFO and COO René Sahm, are leaving the company by “mutual agreement due to differing views on the future direction of the platform.” Katharina Frömsdorf will become CEO of Joyn as of Nov. 1, reporting into ProSiebenSat.1 CEO Bert Habets. Declining TV advertising revenues in the German-speaking region have contributed to revenues and profits plunging at media giant ProSiebenSat.1.
Quarterly results published on Thursday reveal that the group’s revenues declined from €1.04 billion ($1.14 billion) in 2022 to €868 million ($950 million) this year.
Adjusted Ebitda declined by 49% to €79 million in the second quarter of 2023 (previous year: €155 million). For the half year, the group’s adjusted Ebitda was €133 million (previous year: €267 million). Consequently, adjusted net income plummeted to €4 million in the second quarter (previous year: €64 million) and for the half year, adjusted net income fell to minus €11 million (previous year: €101 million).
The financial decline comes in the wake of the group’s continuing realignment after it acquired streamer Joyn in 2022, which will result in the loss of 400 jobs.
Given favorable economic forecasts for the second half of 2023, the group’s outlook remains positive, with a marginal uptick in revenues projected but a decline in profits.

German media giant ProSiebenSat.1 Group’s continuing realignment after it acquired streamer Joyn in 2022 will result in the loss of 400 jobs.
“A realignment of the organization is now taking place, particularly in the entertainment segment. The aim is to achieve a more efficient structure, a competitive cost base, and processes clearly geared to digital transformation. This is a priority in order to continue investing consistently in the future of the group, especially in content and digital offerings,” the group said in a statement on Tuesday.
“Against this background, also a reduction in the number of jobs in the group has become necessary: This will affect around 400 full-time positions. The job cuts will be made in a socially responsible manner through a voluntary redundancy program in order to avoid compulsory redundancies as far as possible. The company had agreed on this in talks with employee representatives,” the statement added.

‘Babylon Berlin’ Broadcaster Sky Deutschland to Pull Out of Scripted Originals From 2024 (Exclusive)
Sky Deutschland, the German arm of Comcast-owned pay-tv operator Sky, is pulling out of scripted originals from 2024, Variety can reveal.
Staff were notified of the surprise move by Sky Deutschland boss Devesh Raj on Thursday morning, local time. Variety understands that the entire scripted originals team will eventually be disbanded, though shows that have already been commissioned and are in production, such as post-apocalypse drama “Helgoland 513″ and “Das Boot” Season 4, will finish filming. Any projects in development will be “put into turnaround,” as per another internal note from Sky Studios CEO Cécile Frot-Coutaz, also seen by Variety.
The most high-profile casualty of the strategy shift will undoubtedly be period police thriller “Babylon Berlin,” which is critically acclaimed and aired its fourth season in the fall. Fans have been expecting a fifth season, but Variety understands that the neo-noir — which isn’t currently in production — has been canceled by Sky...

The changes at Germany’s ProSiebenSat.1 took further shape Monday when the German media giant said Seven. One Entertainment Group CEO Wolfgang Link will exit the company next month amid a restructure and downsizing of the group’s executive board.

London Film Festival Review: Matthew Warchus’ Opening-Night Movie ‘Roald Dahl’s Matilda The Musical’
There are stories so good they can withstand any amount of retelling. Matilda began life as Roald Dahl’s rollicking tale of an outrageously spirited, clever little girl who defeats the bullying headmistress whose vocation is to make children miserable. The Royal Shakespeare Company turned it into a Christmas musical that burst the banks of the festive season, running for years and winning seven Olivier Awards in 2012 in London, then five Tonys the following year in New York. Now, director Matthew Warchus, along with writer Dennis Kelly and songwriter Tim Minchin, has directed the London Film Festival opener Roald Dahl’s Matilda the Musical for the screen. And once again, it is an absolute blast.
From the moment it begins, with a series of glowingly lit babies in cribs “singing” about how their besotted parents think they’re all geniuses, it is clear that Warchus and the team have not...

European media giant Antenna Group has appointed veteran European TV executive Bert Habets, a former CEO of Germany’s Rtl Group, as its CEO.
In his new role, Habets will oversee the free- and pay-tv, Ott, content, radio, digital, music, publishing and education divisions on all platforms for the group, which has operations in North America, Europe and Australia, and reaches a global audience of more than 150 million.
Antenna, which began in 1988 as a sole radio operation in Greece, recently inked a volume deal with Sony Pictures Television that covers 22 pay-tv channels and two Ott services in 12 territories. With TV advertising in decline and stark competition from the likes of Netflix and Amazon, European broadcasting giant Rtl Group is looking to significantly boost its own streaming services in its major markets.
The company, which owns London-based production and distribution powerhouse Fremantle, said this week that it would invest at least €350 million ($396 million) in expanding its streaming services over the next three years. About €300 million ($339 million) of that would be dedicated to content production across all genres, with the rest slated for the development of its technical platform.
The investment adds to the approximately €2 billion ($2.3 billion) that the company’s broadcasters already spend annually on programming. Rtl Group media holdings include broadcasting operations in Germany, France, the Netherlands, Spain, Belgium, Croatia and Hungary.

Rtl Group, Europe’s leading entertainment network, saw record revenues for the first half of 2018 fuelled by a strong second quarter. Announcing its figures to June 30 on Wednesday, the Luxembourg-based media giant revealed revenues hit €3.05 billion ($3.55 billion) for the first half of 2018, a 2.3% rise compared to the same period of 2017. It marks the fourth consecutive year that Rtl has seen revenues rise year-on-year across the first six months.
The company said growth had been driven by its digital business, which saw a $40.8 million (9%) rise year-on-year to $494.6 million; and FremantleMedia, which added $38.5 million in new revenue across the half-year period.
Earnings before interest, tax, depreciation and amortization hit $744 million, a rise of 1.9% against 2017. Rtl said this was mainly thanks to the performance of its Dutch operation, Rtl Nederland, which saw its own Ebitda rise 68.4% from $22.2 million in the first half of 2017 to $37.3 million in 2018 driven by higher TV advertising revenue.
